Please read these Terms of Service carefully before using the ConstraQ platform, mobile application, or any related services (collectively, the "Platform"). By creating an account or using the Platform in any way, you confirm that you have read, understood, and agreed to be bound by these Terms. If you do not agree, you must discontinue use immediately.

1. Who We Are

ConstraQ is a construction project management platform developed and operated by ZoneBuilt Technologies LTD, a company registered under the laws of the Republic of Ghana. The Platform provides clients, contractors, and artisans with a shared digital workspace for tracking construction project phases, documents, payments, and team activity.

2. Eligibility

To use ConstraQ, you must:

Be at least 18 years of age or the legal age of majority in your jurisdiction, whichever is higher
Have the legal capacity to enter into a binding agreement
Not be prohibited from using the Platform under applicable law
Register using accurate, complete, and current information

By using the Platform, you warrant that all of the above conditions are satisfied. ConstraQ reserves the right to suspend or terminate accounts where these conditions are not met.

3. Account Registration and Security

To access the Platform, you must register for an account. You are responsible for:

Providing accurate and truthful information during registration
Maintaining the confidentiality of your login credentials
All activity that occurs under your account
Notifying us immediately at contact@constraq.com if you suspect unauthorized access

ConstraQ will not be liable for any loss or damage arising from your failure to maintain the security of your account credentials. You may not transfer your account to any other person or entity without prior written consent from ConstraQ.

4. User Roles and Permissions

4.1 Clients

Clients are individuals or organizations that fund and oversee construction projects. Clients may create and monitor projects, review phase progress, access documents, and track payment activity. Clients may create full projects or scoped sub-projects and assign contractors to manage execution.

4.2 Contractors

Contractors are professionals responsible for project delivery. Contractors may create and manage projects, invite and assign team members, track phase completion, upload documentation, and manage invoicing and billing within the Platform.

4.3 Artisans

Artisans are skilled workers assigned to specific jobs within a project. Artisans access assigned jobs, review scope and documents, submit field progress updates, and participate in project discussions as permitted by the inviting contractor. Artisans do not manage billing or project creation.

5. Acceptable Use

You agree to use the Platform only for lawful purposes and in a manner consistent with these Terms. You must not:

Use the Platform to engage in fraudulent, deceptive, or misleading activity
Submit false project information, fabricated progress updates, or forged documents
Impersonate another person or entity, or misrepresent your affiliation
Attempt to gain unauthorized access to any part of the Platform or another user's account
Upload or transmit malicious code, viruses, or any content designed to harm the Platform or its users
Use the Platform to harass, threaten, or abuse other users
Scrape, copy, or reproduce the Platform's content without express written permission
Use the Platform in any way that violates Ghanaian law or any applicable regulation

Violations of this section may result in immediate account suspension or termination, at ConstraQ's sole discretion, without refund.

6. Project Data and Content

You retain ownership of all content you upload to the Platform, including project documents, photos, invoices, contracts, and communications (collectively, "User Content"). By uploading User Content, you grant ConstraQ a non-exclusive, royalty-free, worldwide licence to store, display, and process your content solely to provide and improve the Platform.

You are solely responsible for the accuracy, legality, and completeness of all User Content. ConstraQ does not verify the accuracy of project information, financial figures, or documentation uploaded by users.

ConstraQ is not a party to any construction contract between users and bears no responsibility for the execution, quality, or outcome of any construction project managed through the Platform.

7. Subscription and Payments

7.1 Pricing

Access to the Platform is offered on a per-project subscription basis. Current pricing is displayed at constraq.com and is denominated in Ghana Cedis (GHS). Pricing is subject to change with reasonable notice.

7.2 Payment Processing

Payments are processed through third-party payment providers. By completing a payment, you authorise ConstraQ to charge the applicable fee to your selected payment method.

7.3 Taxes

Stated prices may exclude applicable taxes, including Value Added Tax (VAT) where applicable under Ghanaian law.

8. Refund Policy

Please refer to the Refund Policy section of this document for full details on eligibility for refunds, the refund request process, and applicable timelines.

9. Intellectual Property

All intellectual property rights in the Platform, including its design, software, features, trademarks, logos, and content created by ConstraQ, are owned by or licensed to ZoneBuilt Technologies LTD.

Nothing in these Terms grants you any right to use ConstraQ's intellectual property without express written authorisation.

10. Third-Party Services

The Platform may integrate with or link to third-party services, including payment providers and cloud storage. ConstraQ is not responsible for the availability, content, or practices of third-party services.

11. Disclaimers

The Platform is provided "as is" and "as available" without warranties of any kind, express or implied. ConstraQ does not warrant that the Platform will be uninterrupted, error-free, or free from security vulnerabilities.

ConstraQ is a project management tool. It does not supervise, endorse, or guarantee the quality of construction work performed by any contractor or artisan using the Platform.

12. Limitation of Liability

To the fullest extent permitted by Ghanaian law, ZoneBuilt Technologies LTD shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from your use of or inability to use the Platform.

Our total liability to you for any claim arising from your use of the Platform shall not exceed the total subscription fees paid by you to ConstraQ in the three (3) months immediately preceding the event giving rise to the claim.

13. Indemnification

You agree to indemnify and hold harmless ZoneBuilt Technologies LTD, its directors, officers, employees, and agents from and against any claims, losses, damages, liabilities, and expenses arising from your use of the Platform or your violation of these Terms.

14. Termination

You may close your account at any time by contacting us at contact@constraq.com. ConstraQ may suspend or terminate your account at any time where you breach these Terms or where continued access poses a risk to the Platform or other users.

15. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the Republic of Ghana. Any dispute arising from or in connection with these Terms shall be submitted to the exclusive jurisdiction of the courts of Ghana.

16. Changes to These Terms

ConstraQ reserves the right to update these Terms at any time. We will notify you of material changes by posting the updated Terms on the Platform and updating the effective date.

Continued use of the Platform after changes are posted constitutes your acceptance of the revised Terms.
